GOVERNING PROCEDURES
Article I: Organization Name and Location
The organization is known as the McKinney Sports Association and the organization is located in the city of McKinney which is located in Collin County which is also located in the state of Texas.
Article II: Organizational Jurisdiction
The Association will consist of people in the McKinney city limits and cities, towns, communities and etc., bordering its boundaries, but not limited or excluded to that group. Approval of participates outside these areas descripted must be approved by the Board of Directors or a member there of.
Article III: Mission of McKinney Sports Association
To “Build on the Future through our Youth!” To involve community in the growing process of all individuals that participate in any activity or program developed by the association. To bring together individuals that have a passion for sports and a spirit of competition with a desire to strengthen themselves and our youth with a good sense of sportsmanship. Also provide an opportunity to educate, encourage, increase and uplift all individuals to new levels through sports.
Article IV: Purpose of By-Laws
To establish the operating procedures, rules and function of the McKinney Sports Association, its officers and committees in an orderly manner. These articles were adopted on the first day in the seventh month of year 2004 to assist with operating functions of this association.
Article V: Code of Ethics
(1.) All board members will be required to sign a code of ethics form.(2.) All coaches will be required to sign a code of ethics form.(3.) All parents will be required to sign a code of ethics form.(4.) All volunteers will be required to sigh a code of ethics form.(5.) All persons involved in any event in a working capacity will be required to sign a code of ethics form.
Code of Ethics Policies:
The cornerstone of the McKinney Sports Association's (MSA) commitment to ethical business practices and consumer service is its Code of Ethics. Every individual member pledges to abide by the code's standards and procedures as a condition of admission and continuing membership in MSA.
The MSA Code of Ethics speaks to both the consumer and the seller. It ensures that member companies will make no statements or promises that might mislead either consumers or prospective sales people. Pyramid schemes are illegal and companies operating pyramids are not permitted to be members of the MSA.
The MSA Code of Ethics is enforced by an independent code administrator who is not connected with any member company. The code administrator will do everything possible to resolve any complaints to the satisfaction of everyone involved, and has the power to decide on remedies. All member companies have agreed to honor the administrator's decisions.
Article VI: Appointed Positions
Appointed positions are those positions appointed by the President with the approval of the Board and the Executive Committee. Appointed positions make up the MSA Board Members.

Article VII: Elected Officers
All officers shall be called the Executive Committee. All officers must come from the existing board.
Article VIII: Executive Committee
The Executive Committee of the association is:
(1.) President(2.) Vice President (3.) Treasurer(4.) Secretary
Article IX: Board Members
General Information:
No member of the Executive Committee or Board have more than one vote. A yearly term is defined as the time between January 1 and December 31 of that year or any given year. Any time after each yearly term, the Executive Committee and Board may remove an elected officer from their duties. Membership may be terminated by resignation or action of the board. A quorum must be in attendance to conduct association business. A quorum shall consist of at least 3/4 of a majority of a the board. The Executive Committee and Board of Directors may appoint new members to serve in open or vacated positions.
Reason for Board Dismissals:
(1.) Lack of attendance, more than three consecutive Board Meetings.(2.) Lack of participation in the Association.(3.) Lack of ethics or misconduct as a board member, coach, parent or volunteer.
Article X: Voting Membership
The voting Membership of the association shall be limited to:
(1.) Parents or Guardians of the participate in the association.(2.) Sponsors of a team. (Limited to one vote per team).(3.) Assistant Coaches. (Limited to one vote per team).(4.) Managers. (Limited to one vote per team).(5.) Executive Committee or Board of Directors. (Limited to one vote per member).
Article XI: Parlimentary Procedures
Rules of Order shall govern in all cases wherein they do not conflict with these by-laws.
Article XII: Monthly Meetings and Special Meetings
The regular monthly meeting of the association will be held on the second Monday of each month. The meeting will start at 7:00pm. If a holiday falls on that Monday, the meeting will be moved to the following Monday of that month. All dates should be established three months in advance.
The special quarterly meetings of the association will be held in the second Month of the quarter on the second Monday of that month. The meeting will start at 7:00 pm. If a holiday falls on that Monday, the meeting will be moved to the following Monday of that month. All dates should be established three months in advance.
Article XIII: Registration Procedures, Rules and Fees
A. Registration fees are used for the following reasons throughout the course of an association season or calendar year.
(1.) Payment of Insurance(2.) Payment of Advertisements(3.) Payment of City User Fees(4.) Payment of Equipment Needs(5.) Payment of Awards and Trophies(6.) Payment of Uniforms(7.) Payment of Umpires and Referees(8.) Payment of Miscellaneous Items and Association Expenses(9.) Payment of Ceremonies, Banquets or Special Dinners
B. Fees may be waived by a decision of the Board or those persons so vested with the authority of two members of the board.
C. No one shall be denied the right to join because of inability to meet the fee requirements. Partial payment can be expected when a scholarship is available to cover a remaining balance due.
D. Player scholarships are provided to those individuals not able to pay some or all of the registration fees. Scholarships are available for youth activities, programs and events only. They are available on a first come first serve bases because there’s a limited number available. Scholarships are reviewed by a Scholarship committee and approved by the Executive Committee or Board Members prior to any and all events and activities.
Article XIV: Accounting and Finance
A. The President, Vice President shall be signatories on the association's bank account. Checks in the account are to be in the control of the Treasurer or Secretary.
B. All money received shall be deposited within one week of receipt.
C. An outside source should be appointed to prepare an annual audit. An outside source should be appointed to prepare the annual tax return information.
D. A hard copy financial report must be submitted for approval of each regularly scheduled Board of Directors Meeting. Requests of expenditures must be approved by the Executive Committee or Board of Directors.
E. No part of the net earnings of the association shall be distributed to its members, trustees, officers, committees or other private persons unless expensed through proper means.
F. Checks over $1000.00 must have two boards members acknowledgment. The account trustees shall write checks provided they are written in the amount under $750.00. Any amount over $750.00 and under $1000.00 will require a dual signature from two account trustees.
Article XV: Child Abuse Statement
The McKinney Sports Association will have a zero tolerance policy regarding suspicious and know child abuse instances. The Association will take necessary measures to ensure the safety of the children participating in the events and activities made available to the public or community by the association. If any child abuse is suspected or known of, the MSA will notify the proper authorities and local law enforcement agencies.
Article XVI: Amendments to By Laws
McKinney Sports Association is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
No part of the net earnings of the organization shall insure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.
Notwithstanding any other provision of the document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Upon the dissolutions of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 510 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed pf shall be disposed of by the Court of Common Please of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and organized and operated exclusively for such purposes.
